MAKE MY EVENT EASY (MMEE)

TERMS & CONDITIONS

This document uses “Make My Event Easy”, “MMEE”, “we”, “us” and “our” as the platform references.

GENERAL TERMS

1. Introduction

These Terms & Conditions (“Terms”) govern access to and use of the Make My Event Easy platform, including the website, application, software, marketplace, communications, booking facilities and related services (collectively, the “Platform”).

The Platform is intended to facilitate the discovery, comparison, communication, short listing, booking and, where enabled, payment for event-related services supplied by independent service providers.

By accessing, registering on, browsing, using or transacting through the Platform, the person doing so (“User”, “Customer”, “Client”, “Provider” or “you”, as applicable) acknowledges that they have read and understood these Terms and agree to be bound by them, subject always to rights that cannot lawfully be excluded or restricted.

2. Definitions

“MMEE” means Make My Event Easy and the applicable legal entity operating the Platform, as identified in the final published version of these Terms.

“Customer” means a person using the Platform to search for, shortlist, request, book or purchase event-related services.

“Provider” means an individual, independent business, agency, professional, contractor or other service provider offering event-related goods or services through the Platform.

“Booking” means a confirmed arrangement for one or more services made through the Platform or through a process expressly recognized by MMEE.

“Event” means the marriage, birthday, corporate event, celebration, function or other occasion for which services are being arranged.

“Platform Charges” means charges payable to MMEE for platform, technology, facilitation or other services, as disclosed at the relevant time.

“Service Charges” means amounts payable for services supplied by a Provider.

“Transaction” means any booking, payment, refund, cancellation or related activity undertaken through the Platform.

“Content” includes text, photographs, video, audio, reviews, ratings, documents, logos, descriptions and other material uploaded or supplied by a User.

3. Acceptance of Terms

Use of the Platform constitutes acceptance of these Terms. If you do not agree, you must not use the Platform or proceed with a Transaction.

Where a User acts for a company, family, organization or other person, the User represents that they are authorized to do so.

Additional terms may apply to particular services, promotions, bookings, payment methods or Provider offerings. Where such terms are specifically presented to a Customer before a Transaction, they form part of that Transaction subject to applicable law.

4. Eligibility

The Platform is intended for persons who are legally capable of entering into binding contracts under applicable law. Where a minor uses the Platform, such use must be undertaken with the involvement and consent of a parent or lawful guardian to the extent required by law.

MMEE may refuse, restrict or terminate access where it reasonably believes that a User is not eligible or has provided false, misleading or unauthorized information.

5. Account Registration

Certain features may require registration. Users must provide accurate, current and complete information and must keep account credentials confidential.

Users are responsible for activity conducted through their accounts, except to the extent applicable law provides otherwise. A User must promptly notify MMEE of suspected unauthorized access, fraud or security compromise.

MMEE may use reasonable verification procedures and may require additional information where necessary for security, fraud prevention, regulatory compliance, Provider on-boarding, payment processing or dispute resolution.

6. Accuracy of Information

Users must provide accurate information concerning identity, contact details, Event dates, locations, guest numbers, requirements, budgets and other information relevant to a Transaction.

MMEE may rely on information supplied by Users and Providers and is not responsible for losses caused by inaccurate, incomplete or misleading information supplied by another party, subject to applicable law.

7. Electronic Communications

Users consent to receiving service-related communications electronically, including account notices, booking confirmations, payment information, security messages, customer-support communications and other operational notices.

Marketing communications will be handled in accordance with applicable law and available preference/opt-out mechanisms.

8. Changes to Terms

MMEE may update these Terms from time to time. Changes will be effective from the date stated in the updated version, subject to applicable law.

For material changes, MMEE may provide reasonable notice through the Platform or other appropriate means. Continued use after the effective date may constitute acceptance of the updated Terms to the extent permitted by law.

MMEE MARKETPLACE

9. Nature of MMEE Platform

MMEE operates a technology-enabled marketplace that may connect Customers with independent Providers of event-related services.

Unless expressly stated otherwise for a particular offering, MMEE is not the actual supplier, employer, contractor or performer of the Provider’s event service. The service contract or arrangement for the underlying service is principally between the Customer and the relevant Provider, subject to the Platform’s role in facilitating the Transaction.

10. Role of MMEE

MMEE may provide search, discovery, comparison, communication, short-listing, booking, payment facilitation, notifications, customer support and other technology services.

MMEE may facilitate or coordinate aspects of a Transaction but does not thereby assume responsibility for every act or omission of a Provider.

11. Independent Service Providers

Providers are independent businesses or persons. Unless expressly stated otherwise, they are not employees, agents, partners, franchisees or joint venturers of MMEE.

Providers are solely responsible for their services, personnel, equipment, licences, permits, insurance, taxes, statutory obligations, representations and compliance with applicable laws.

12. Provider Listings and Information

Provider profiles, prices, photographs, availability, descriptions, qualifications and other information may be supplied or updated by Providers. MMEE may display such information but does not warrant that every listing is error-free, complete or continuously current.

13. Provider Approval / Verification

Where MMEE conducts on-boarding, verification or approval, such process is intended to support marketplace integrity and is not a guarantee or warranty of the Provider’s future performance, financial standing, competence, solvency, conduct, legality or suitability for a particular Event.

14. Availability of Services

Provider availability may change rapidly. A service shown as available is not necessarily confirmed until the applicable Booking process has been completed and confirmation has been issued.

15. Pricing and Estimates

Prices, fees, commissions, taxes and other amounts may vary by Provider, Event date, location, quantity, scope and other factors. Where a displayed price is an estimate or subject to confirmation, the final amount will be the amount communicated and accepted in the applicable Booking.

16. Customer-Provider Relationship

Customers are responsible for reviewing the Provider’s offering and Booking terms. Providers are responsible for delivering the contracted service.

BOOKINGS AND PAYMENTS

17. Event Creation and Booking

A Customer may create an Event, identify requirements, shortlist services and submit booking requests through the Platform.

18. Short-listing

Short-listing a Provider or service does not reserve availability or create a binding obligation unless the Platform expressly states otherwise.

19. Booking Confirmation

A Booking becomes confirmed according to the confirmation mechanism communicated by MMEE. The confirmation may specify service scope, Provider, date, location, price, taxes, payment schedule, cancellation terms and other conditions.

20. Advance Payment

Where an advance payment is required, the amount and due date will be displayed or otherwise communicated before confirmation.

21. Balance Payment

Where payment is split into advance and balance amounts, the balance becomes due according to the Booking terms.

22. Platform / Service Charges

MMEE may charge platform, facilitation, technology, convenience or other disclosed charges. Applicable charges will be presented before the relevant Transaction where required.

23. Taxes and GST

Applicable taxes, including GST where required by law, may be added to amounts payable through the Platform.

24. Payment Gateway

Payments may be processed through third-party payment gateways or financial service providers. MMEE may transmit necessary Transaction information to such providers.

25. Failed Transactions

A payment may fail, remain pending, be reversed or be duplicated due to banking, gateway, network, technical or other reasons.

26. Refunds

Refund eligibility, amount and timing will depend on the applicable Booking terms, cancellation policy, Provider policy, payment method and applicable law.

27. Chargebacks

A Customer must first contact MMEE through the designated support process regarding an allegedly unauthorized, duplicate or erroneous payment where reasonably practicable.

CANCELLATION & SERVICE FAILURE

28. Customer Cancellation

Customers may cancel a Booking subject to the cancellation terms disclosed for the relevant service or Booking.

29. Provider Cancellation

If a Provider cancels or materially fails to honour a confirmed Booking, MMEE may, where reasonably practicable, assist the Customer with alternatives, refund processes or other available remedies.

30. Provider Non-Performance

Where a Provider materially fails to provide the booked service, the Customer should notify MMEE promptly and provide reasonable evidence.

31. MMEE Cancellation

MMEE may cancel, suspend or restrict a Transaction where reasonably necessary for security, fraud prevention, legal compliance, technical reasons, Provider unavailability, payment failure, inaccurate information, suspected abuse or circumstances beyond MMEE’s reasonable control.

32. Force Majeure

Neither MMEE nor, where applicable, a Provider shall be responsible for delay or failure caused by events beyond reasonable control, including natural disasters, extreme weather, epidemic or pandemic conditions, governmental action, war, terrorism, civil unrest, strikes, major infrastructure failure, power or telecommunications failures, venue closure, transportation disruption or other force majeure events.

33. Event Changes

Customers must promptly communicate material changes to Event date, venue, guest numbers, service scope or timing.

43. Disclaimers

To the maximum extent permitted by applicable law, the Platform is provided on an “as available” basis. MMEE does not warrant that the Platform will always be uninterrupted, error-free, secure or available.

44. Limitation of Liability

To the maximum extent permitted by applicable law, MMEE shall not be liable for indirect, incidental, special, exemplary or consequential losses, loss of profits, loss of opportunity, loss of goodwill or business interruption arising from use of the Platform or a Provider’s services.

45. Indemnification

To the maximum extent permitted by law, a User or Provider shall indemnify and hold harmless MMEE and its officers, directors, employees and authorized representatives from third-party claims, losses, liabilities, costs and reasonable expenses arising from breach of these Terms, unlawful conduct, infringement of third-party rights, false or misleading information, misuse of the Platform, or a Provider’s or Customer’s acts or omissions in connection with an Event or service.

46. Suspension and Termination

MMEE may suspend, restrict or terminate access to an account or Platform features where reasonably necessary for breach of these Terms, fraud prevention, security, non-payment, legal compliance, repeated misconduct or other legitimate platform-protection reasons.

47. Survival

Provisions which by their nature should continue after termination, including intellectual property, payment obligations, limitation of liability, indemnification, dispute resolution, privacy-related obligations and accrued rights, shall survive to the extent permitted by law.

48. Governing Law

These Terms shall be governed by the laws of India, subject to mandatory consumer, data-protection and other statutory rights applicable to the relevant User.

49. Dispute Resolution

MMEE will maintain a reasonable customer-support and grievance process. Where a dispute cannot be resolved through support, the parties may pursue mediation, arbitration or court proceedings as permitted by applicable law and subject to mandatory consumer rights.

Nothing in these Terms is intended to exclude, restrict or contract out of any consumer protection, statutory remedy or other right that cannot lawfully be excluded.

51. Grievance Redressal

MMEE will publish the name/designation and contact details of the appropriate grievance officer or responsible contact where required by applicable law.

MMEE may assign or transfer its rights and obligations in connection with a merger, restructuring, sale of business, corporate reorganization or other legitimate business transaction, subject to applicable law.

54. Severability

If any provision is held invalid, unlawful or unenforceable, that provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue to the extent permitted by law.

55. Waiver

Failure or delay by MMEE in enforcing a provision does not constitute a waiver of its right to enforce that provision later.
